The problem it solves

Most small businesses chose their legal form in a twenty-minute conversation at the start, when there was no operation to look at. What got chosen was what someone recommended, or the quickest option, or whatever an acquaintance had done.

Since then the business changed: it hired people, started invoicing differently, took on a partner, bought equipment, perhaps started operating somewhere else. The form did not change, and nobody revisited it, because no date in the calendar forces anyone to.
